We’re leading corporate banking and real estate finance lawyers, working with both lenders and borrowers on all forms of finance and secured lending transactions. We can also call on other specialist lawyers on transactions as and when required including corporate, construction and insolvency lawyers.

Our clients include banks, building societies, financial institutions, and large corporates. We advise them on acquisition, corporate and property finance, and we’ve developed expertise in specialist areas, too – like charity and renewables finance.

Finance transactions often involve working within tight timescales. We collaborate with our corporate and real estate law experts, to ensure that lending conditions are satisfied expeditiously, and that security is put in place promptly. We also work closely with our dedicated financial services team to help our clients stay compliant with their regulatory requirements at all times.

We have a strong reputation for advising on ambitious transactions, both in the UK and cross-borders, where we often act as project managers. Our position on the panels of several leading banks and lenders also helps us when negotiating complex funding structures, as we have experience on acting for both sides of the transaction.

Recent work

2023 has been a busy year, working with some of our amazing clients across a range of deal types, including leveraged & acquisition finance, real estate finance, debt restructuring & refinancing, secured and unsecured lending and term & revolving credit facilities. Experience

  • Acting for four Welsh high profile rugby clubs in obtaining finance from the Welsh Rugby Union to assist with their working capital requirements and help them deal with the impact of the COVID-19 pandemic
  • Advising a prominent lender in drafting its template documentation and advising them on a number of ongoing real estate and development finance transactions
  • Advising several banks and corporate borrowers on proposed CBILS funding
  • Advising private equity house WestBridge in respect of mezzanine debt and intercreditor arrangements relating to acquisitions and management buy outs
  • Acting for the Ascona Group on the banking, corporate and real estate elements of its acquisition of a number of petrol forecourts
  • Acting for lenders on various transactions involving commercial mortgages and asset-based lending
  • Acting for a prominent development funder in a number of transactions involving the acquisition of and/or development of properties

Training

We regularly offer training seminars and webinars on specific issues affecting the banking and finance sector. Our broad range of experience and willingness to broaden our knowledge in new arears means that we can provide training on topics such as the replacement of LIBOR, the growth of modular construction and the use of third-party rights/collateral warranties.
