Capital advises Engage in Learning on acquisition by Kallidus

Gloucester-based eLearning specialist, Engage in Learning, has been acquired by award-winning learning and talent management provider, Kallidus, with the backing of its private equity partner, Apse Capital.

Tom Kelleher and Laura Spendiff, with support from Chloe Walsh, from Capital Law’s corporate team, acted as legal advisers to the owners of Engage in Learning throughout the sale process.

Engage in Learning is a pioneer of high-quality, easy to use and engaging bite-sized digital learning content that learners love. As well as a library of over 100 courses with extensive language and personalisation capabilities, Engage in Learning brings to Kallidus’ business more than 800 customers, ranging from SMEs to global multinationals including the likes of Toyota, OCS, Cancer Research UK, Kettle Foods and Moonpig.

The transaction is the first made by Kallidus with Apse Capital as part of its strategic growth plan to provide a full range of people-focused learning and human capital management solutions. The addition of Engage in Learning’s industry-leading editable courses in health & safety, compliance and soft skills development to Kallidus’ offering will indeed add exceptional value to its existing and future customers’ learners and stakeholders.

Laura Spendiff, Associate at Capital Law, said:

“Compliance, health and safety and soft skills development is as important as ever, and in joining forces with Kallidus, Engage in Learning will be able to widen the reach and scale of its content. Both companies share the same goal – delivering excellent solutions through engaging content and industry-leading technology – and we were delighted to help them come together.”

Chris Horseman, Managing Director of Engage in Learning, said:

“The team at Capital gained and kept our confidence throughout the sale process. They were always very helpful and responsive and provided clear and commercial advice, particularly when significant deal changes were being negotiated. Special thanks to Tom, Laura and Chloe, for their very hard work and a terrific result.”
