Oliver Woodhouse

Oliver is an Associate in our Financial Services team specialising in regulatory and insurance work. 

Oliver provides commercial regulatory advice to a range of financial services, insurance and technology-focused clients.

He has significant experience in the InsurTech and FinTech sectors, and also works for a range of more traditional financial service businesses. He is also building a specialism in Cryptoasset regulation.

Expertise includes: managing business-critical regulatory projects; preparing applications for FCA authorisation; Brexit contingency planning and project-managing overseas regulatory submissions; supporting clients to launch innovative regulated products; providing technical advice and guidance on the UK’s regulatory perimeter including FCA and PRA rules and EU regulation; supporting businesses with regulatory aspects of corporate transactions; and drafting of TOBAs, IPIDs, outsourcing agreements, distribution agreements, compliance manuals and other regulatory agreements.

Oliver is a member of the Crypto Asset Professional Advisory Group (CAPAG) and was part of the Capital Law team that won “Best Advisory Firm of the Year” at the FinTech Awards Wales 2019/2020.

  • A leading UK challenger bank on its proposed entry into the insurance market via its banking app.
  • A FinTech client to develop a digital share trading platform for retail/professional clients. Advising on MIFID requirements, developing client on-boarding processes and suitability/appropriateness questionnaires, disclaimer / risk warnings and supporting with financial promotions material.
  • Global InsurTech Cover Genius navigate Brexit, including securing a regulatory licence in the Netherlands, and developing associated regulatory business plan and supporting materials.
  • Project managing several FCA application processes for a variety of tech-focused businesses disrupting the traditional market; including drafting of regulatory business plans, advising on proposed regulated activities, structure and internal regulatory framework.
  • Strategic planning, training and assistance to various regulated firms, including traditional financial service businesses and FinTechs, in preparation for the Senior Managers & Certification Regime (“SMCR”).
  • Reviewing European product distribution structure for an InsurTech client, including treatment of ancillary insurance intermediaries introduced by the IDD; and regulatory treatment of a new motor insurance solution for the European market, planned as a joint venture with an Estonian partner;
  • A European InsurTech on integration of PSD2 Strong Customer Authentication requirements.
  • A legal opinion and engaging with the FCA Innovate Team for a European Blockchain / Cryptoasset client regarding categorisation of different tokens and a substantial review against MIFID, FSMA and the RAO. One token operating as a public blockchain solution for the commodities market; a second token operating distinct from this providing physically settled benefits to the holder.
  • Leading the response to the FCA’s Guidance on Cryptoassets Paper (CP19/3) in Q1 2019 on behalf of Capital Law and the Cryptoasset Professional Advisory Group (of which Capital Law is a founding member). This demonstrated sector leading knowledge, with the majority of the suggestions on regulatory treatment of Cryptoassets that were raised matching subsequent industry guidance published by the FCA in July 2019 (FCA Policy Statement 19/22).
  • Regulatory advice for traditional financial service and disruptive businesses; key specialisms in the FinTech, InsurTech and blockchain/cryptoasset sectors.
  • FCA authorisation, variation of permissions, and change of control applications.
  • Advising on the Interpretation and implementation of FCA, PRA and EU regulation.
  • Markets in Financial Instruments Directive (“MIFID II”) and regulated investment services.
